SELLSWEEP TERMS OF SERVICE

1. WELCOME AND SCOPE OF SERVICE

SellSweep, LLC (“SellSweep,” “we,” “us,” or “our”) provides a localized online marketplace and classifieds platform designed to connect independent buyers and sellers. SellSweep acts strictly as a neutral venue. We do not own, inspect, possess, curate, or guarantee any items listed for sale, nor do we employ, vet, or background-check the individuals using our platform. Any transaction or interaction between users is solely an agreement between those independent parties.

2. LICENSE AND PERMITTED USE

Subject to your strict compliance with these Terms, SellSweep grants you a limited, personal, revocable, non-transferable, and non-exclusive license to access and use the platform for its intended purpose of browsing, buying, and selling local goods and services.

You agree that you will not:

• Use any automated system, robot, spider, or scraper to access the platform for any purpose without our express written permission.
• Decompile, reverse engineer, or attempt to derive the source code of the platform.
• Copy, modify, or distribute content from SellSweep without the express consent of the respective owners.

3. USER ACCOUNTS AND CONTENT LICENSE

To list items or utilize certain platform features, you may be required to register for an account. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

When you post text, images, or other data ("User Content") on SellSweep, you retain your ownership rights. However, you grant SellSweep a perpetual, irrevocable, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, display, distribute, and modify your User Content to operate, promote, and improve the platform. You represent and warrant that you own or have the necessary rights to grant this license for all content you upload.

4. USER CONDUCT, COMMUNICATIONS, AND INTERACTION

A. Platform Messaging and Safe Communications

SellSweep provides an integrated instant messaging feature to allow buyers and sellers to communicate regarding listings. You agree to use this communication tool solely for lawful, bona fide inquiries related to transactions on SellSweep.

• Prohibited Chat Behavior: You are strictly prohibited from using SellSweep instant messaging to transmit any content that is unlawful, fraudulent, harassing, threatening, defamatory, obscene, or otherwise objectionable.
• Safety Restrictions: You agree not to use the messaging system to scrape data, distribute spam, transmit malware, or solicit users for external commercial services competing with SellSweep. You must not impersonate any person or entity, or misrepresent your affiliation with any person or entity through the platform’s chat function.
• Sharing Sensitive Data: For your own safety, you are strongly advised against sharing highly sensitive personal data—including but not limited to financial account details, social security numbers, or unverified personal contact information—within the instant messaging system. SellSweep is not liable for any identity theft or fraud resulting from your voluntary disclosure of personal information to other users.

B. Chat Monitoring, Moderation, and Data Retention

To maintain a safe, trustworthy, and compliant community marketplace, SellSweep reserves the right, but does not assume the obligation, to monitor, review, filter, flag, or moderate user communications sent through the platform’s instant messaging system.

• Right to Intervene: SellSweep utilizes automated tools and manual reviews to detect fraud, scams, harassment, and violations of these Terms. We reserve the absolute right, in our sole discretion, to block, delete, or modify any messages, and to suspend or permanently terminate account access for any user who violates these communication standards.
• Privacy Disclaimer: Because SellSweep actively monitors and retains chat histories for safety, moderation, and dispute resolution purposes, users should have no expectation of absolute privacy regarding communications sent through the platform's proprietary messaging tools.

C. Offline Meetings, In-Person Transactions, and Liability Release

• Assumption of Risk: Any offline interactions, face-to-face meetings, physical inspections of goods, or in-person exchanges of currency (collectively, "In-Person Interactions") are conducted entirely at your own risk. You are solely responsible for exercising caution, practicing common sense, and taking all necessary safety precautions when arranging to meet another user in the physical world.
• Safe Meeting Recommendations: SellSweep strongly encourages users to conduct all In-Person Interactions during daylight hours in highly visible, monitored, public locations, or designated "Safe Exchange Zones" (such as local police department parking lots).
• Full Release of Liability: By using the platform, you explicitly acknowledge and agree that SellSweep (including its owners, officers, directors, employees, and agents) shall not be held liable, directly or indirectly, for any injury, loss, theft, property damage, fraud, misrepresentation, or physical harm arising out of, related to, or resulting from any communications on the platform or any subsequent In-Person Interactions between users. You hereby fully and forever release SellSweep from any and all claims, demands, or damages of every kind and nature, known and unknown, arising out of disputes or interactions with other users.

5. FEES AND SERVICES

Browsing SellSweep and posting standard listings is generally free. If a specific service, premium listing enhancement, or transactional feature incurs a fee, the cost will be clearly disclosed to you prior to the purchase. All fees are non-refundable unless explicitly stated otherwise. We reserve the right to change our fee structures or introduce new fees at any time upon reasonable notice posted to the platform.

6. PROHIBITED ITEMS AND CONTENT

You agree not to list, advertise, sell, buy, or seek to exchange any items or services that are illegal, regulated, unsafe, or prohibited by SellSweep policies. Prohibited items include, but are not limited to: weapons, hazardous materials, illegal drugs or drug paraphernalia, stolen property, recalled goods, counterfeit items, explicit adult content, and live animals. SellSweep reserves the right to remove any listing immediately and without notice for any reason.

7. DISCLAIMER OF WARRANTIES

SellSweep is provided on an "as is" and "as available" basis, without warranties of any kind, either express or implied. To the fullest extent permitted by applicable law, SellSweep, LLC disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. SellSweep does not warrant that the platform will be uninterrupted, secure, error-free, or free of viruses, nor do we make any representations regarding the accuracy, reliability, or safety of any user content, listings, or interactions.

8. LIMITATION OF LIABILITY

In no event shall SellSweep, LLC, its affiliates, or their respective officers, directors, employees, or agents be liable to you for any indirect, incidental, special, punitive, or consequential damages whatsoever, including lost profits, loss of data, or personal injury resulting from (i) your access to or use of the platform; (ii) the conduct, listings, or content of other users; (iii) any in-person meetings or transactions scaled from the platform; or (iv) unauthorized access to or modification of your communications.

Our total aggregate liability to you for any claims arising out of or relating to these terms or the use of the platform shall be limited to the greater of one hundred dollars ($100) or the total amount paid by you to SellSweep, LLC in the six (6) months preceding the claim.

9. CLAIMS AND INDEMNITY

You agree to defend, indemnify, and hold harmless SellSweep, LLC, its parental entities, subsidiaries, and their respective officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from: (i) your misuse of and access to SellSweep; (ii) your violation of any term of these Terms; (iii) your violation of any third-party right, including without limitation any copyright, property, or privacy right; or (iv) any claim that your User Content or transaction caused damage to a third party. This defense and indemnification obligation will survive these Terms and your use of SellSweep.

10. GOVERNING LAW AND JURISDICTION

These Terms and any dispute or claim arising out of or in connection with them shall be governed by, and construed in accordance with, the laws of the State of Maine, without regard to its conflict of law principles. You agree that any legal action, suit, or proceeding arising out of or relating to these Terms must be instituted exclusively in the state or federal courts located in the State of Maine.

11. MODIFICATIONS AND SEVERABILITY

We reserve the right to modify these Terms at any time. Any changes will be effective immediately upon posting to the website or application. Your continued use of the platform following the posting of changes constitutes your binding acceptance of those modifications. If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.
